1. Acceptance
These Terms of Service (the "Terms") govern your use of TauDiff (the "Software"), provided by TauLeap ("we", "us"). By downloading, installing or using the Software you agree to these Terms. If you do not agree, do not use the Software.
2. Licence
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on computers you own or control, for personal or internal business purposes. We retain all rights in the Software that are not expressly granted to you.
3. Restrictions
You may not:
- redistribute, sell, sublicense, rent or lease the Software;
- reverse engineer, decompile or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
- remove or alter any copyright, trademark or other proprietary notice;
- use the Software in violation of any applicable law.
4. Your files and your responsibility
The Software runs on your computer and operates on the files you open with it. You are solely responsible for those files and for holding the necessary rights over them. We do not receive, store or process them. See the Privacy Policy for details.
Back up your work. The Software can edit and overwrite the files being compared, including copying blocks from one side to the other. These operations can change a file irreversibly. Keep independent backups of anything you cannot afford to lose, and do not rely on the Software as your only record of either version.
5. Accuracy of comparison results
Differences are computed automatically and are provided for your convenience. You are responsible for reviewing the result before acting on it. We do not warrant that a comparison identifies every meaningful difference, or that it is suitable for audit, compliance or safety-critical purposes.
6. Third-party components
The Software includes third-party open-source components, each licensed under its own terms, which continue to apply to those components.
7. Updates and availability
We may release updates, change features, change system requirements, or discontinue the Software at any time. We are not obliged to provide updates, support or continued availability for any particular version.
8. Disclaimer of warranty
The Software is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Software will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by applicable law, TauLeap shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, arising out of or in connection with the Software, even if advised of the possibility of such damages. Where liability cannot be excluded, our total aggregate liability is limited to the amount you paid us for the Software in the twelve months preceding the event giving rise to the claim, or JPY 0 if you paid nothing.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for wilful misconduct or gross negligence.
10. Anti-social forces
You represent and warrant that you are not, and will not become, an anti-social force (including an organized crime group, a member thereof, or an affiliated entity) and that you will not engage in violent, threatening, or unlawful demand activities. If you breach this section, we may immediately terminate your licence and access to the Software without prior notice or liability.
11. Termination
This licence terminates automatically if you breach these Terms. You may terminate at any time by uninstalling the Software and deleting all copies.
12. Governing law and jurisdiction
These Terms are governed by the laws of Japan. Any dispute arising out of or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
13. Changes to these Terms
We may revise these Terms. The revised version will be posted on this page with an updated "Last updated" date, and applies to your use of the Software from that date onwards.

1. 本規約への同意
本利用規約（以下「本規約」）は、TauLeap（以下「当社」）が提供する TauDiff（以下「本ソフトウェア」）の利用条件を定めるものです。本ソフトウェアをダウンロード、インストールまたは利用した時点で、本規約に同意したものとみなします。同意いただけない場合は、本ソフトウェアをご利用にならないでください。
2. ライセンス
当社は、本規約に従うことを条件として、お客様が所有または管理するコンピュータに本ソフトウェアをインストールし、個人利用または社内業務目的で利用する、譲渡不能・非独占的かつ撤回可能な権利を許諾します。本規約で明示的に許諾されていない権利は、すべて当社に留保されます。
3. 禁止事項
お客様は、次の行為を行ってはなりません。
- 本ソフトウェアの再配布、販売、再許諾、貸与またはリース
- 本ソフトウェアのリバースエンジニアリング、逆コンパイル、逆アセンブル（適用法により当該制限が禁止される範囲を除く）
- 著作権表示、商標表示その他の権利表示の削除または改変
- 適用法に違反する態様での利用
4. ファイルとお客様の責任
本ソフトウェアはお客様のコンピュータ上で動作し、お客様が開いたファイルを処理します。これらのファイル、および当該ファイルに関する必要な権利の保有については、すべてお客様の責任となります。当社がこれらを受領・保存・処理することはありません。詳細はプライバシーポリシーをご覧ください。
バックアップについて — 本ソフトウェアは、比較中のファイルの編集・上書き（一方の差分ブロックを他方へコピーする操作を含む）を行うことができます。これらの操作によりファイルが不可逆的に変化する場合があります。失うことのできないデータについては必ず別途バックアップを保持し、いずれのバージョンについても本ソフトウェアを唯一の記録として依拠しないでください。
5. 比較結果の正確性
差分は自動的に算出され、利便性のために提供されるものです。結果に基づいて行動する前に内容を確認する責任はお客様にあります。当社は、比較によって意味のある差分がすべて検出されること、および監査・コンプライアンス・安全上重要な用途に適することを保証しません。
6. 第三者コンポーネント
本ソフトウェアには第三者のオープンソースコンポーネントが含まれており、それぞれのライセンスが引き続き適用されます。
7. 更新および提供の継続
当社は、本ソフトウェアの更新、機能の変更、動作要件の変更、または提供の終了を随時行うことがあります。特定のバージョンについて、更新・サポート・提供の継続を行う義務は負いません。
8. 無保証
本ソフトウェアは「現状有姿」かつ「提供可能な範囲」で提供され、明示・黙示を問わず、商品性、特定目的への適合性、正確性、権利非侵害を含むいかなる保証も行いません。当社は、本ソフトウェアが中断なく動作すること、および不具合がないことを保証しません。
9. 責任の制限
適用法が許容する最大限の範囲において、当社は、本ソフトウェアに起因または関連して生じた間接損害、付随的損害、特別損害、結果的損害または懲罰的損害、およびデータ・利益・収益・事業の損失について、当該損害の可能性を知らされていた場合であっても、責任を負いません。責任を排除できない場合であっても、当社の責任の総額は、請求の原因となった事由の発生前 12 か月間にお客様が本ソフトウェアについて当社に支払った金額（無償の場合は 0 円）を上限とします。
本規約のいかなる定めも、故意または重過失による責任その他、適用法上制限できない責任を制限するものではありません。
10. 反社会的勢力の排除
お客様は、自らが暴力団、暴力団員、暴力団関係企業その他の反社会的勢力に該当しないこと、および暴力的な要求行為や法的な責任を超えた不当な要求行為を行わないことを表明し、保証します。お客様が本条に違反した場合、当社は催告なしに直ちに本ライセンスを解除し、本ソフトウェアの利用を終了させることができます。
11. 終了
お客様が本規約に違反した場合、本ライセンスは自動的に終了します。お客様は、本ソフトウェアをアンインストールし、すべての複製を削除することで、いつでも利用を終了できます。
12. 準拠法および管轄
本規約は日本法に準拠します。本規約または本ソフトウェアに起因または関連する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
13. 本規約の変更
当社は本規約を改定することがあります。改定後の規約は「Last updated」の日付を更新のうえ本ページに掲載し、その日以降の本ソフトウェアの利用に適用されます。
